Walker & Hawkes – Business to Business (B2B) Terms & Conditions of Sale
- Definitions
- “The Company” refers to Walker and Hawkes Limited, trading as Walker & Hawkes, registered in England under No. 06052000.
- “The Buyer” refers to any person, company or organisation purchasing goods from the Company.
- “Goods” refers to the items described in the order and/or relevant contract documentation.
- “The Contract” means the agreement between the Company and the Buyer, incorporating these Terms and Conditions, the Buyer’s order, the Company’s order confirmation, and any additional documents specified therein.
- Scope & Acceptance
These terms apply to all B2B transactions and take precedence over any conflicting terms supplied by the Buyer, unless otherwise agreed in writing and signed by a Company Director. - Orders & Quotations
No quotation issued by the Company shall constitute a binding offer. A contract is formed only upon written acceptance or confirmation of the Buyer’s order by the Company. - Pricing & Payment
- Unless otherwise agreed, payment is due immediately upon receipt of the invoice.
- Late payments are subject to interest at 8% above Lloyds Bank’s base rate, calculated daily.
- All prices are exclusive of VAT, which will be applied where applicable.
- The Company reserves the right to suspend or cancel deliveries if the Buyer exceeds agreed credit limits (unless otherwise agreed).
- Delivery
- All delivery dates are estimates and not guaranteed. Time is not of the essence unless expressly stated.
- Goods may be delivered in instalments; each treated as a separate transaction.
- Risk passes to the Buyer upon delivery, but title remains with the Company until payment is received in full.
- In the event of non-acceptance of delivery, goods may be stored at the Buyer’s risk and cost.
- Claims & Returns
- Claims for shortages, damage, or non-compliance must be reported in writing:
- Within 2 days for transit damage or missing items
- Within 3 days for incorrect items
- Within 7 days for non-delivery
- No returns will be accepted without prior written authorisation.
- Faulty goods must be reported within 14 days. We may offer a refund, repair, or replacement at our discretion.
- Goods that have been cut, processed, or altered in any way will not be accepted for return or refund.
- All returns must be in original condition with tags attached.
- Product Suitability & Testing
- The Company does not warrant the fitness of goods for any particular purpose unless agreed in writing.
- Buyers are responsible for arranging and covering the cost of any independent product testing.

- Intellectual Property & Indemnity
The Buyer shall indemnify the Company against any claims resulting from the use of designs, logos, or specifications provided by the Buyer that infringe on third-party rights. - Liability
- The Company’s liability is strictly limited to the price of the goods supplied.
- We shall not be liable for loss of profit, business interruption, or indirect/consequential losses.
- Nothing in these terms limits the Company’s liability for death or personal injury caused by negligence.
- Force Majeure
We are not liable for delays or failure to perform due to events outside our control, including but not limited to strikes, natural disasters, and supply chain disruptions. - Insolvency & Termination
If the Buyer becomes insolvent or fails to meet contractual obligations, the Company may suspend or terminate the Contract without liability. - Retention of Title
Goods remain the property of the Company until full payment is received. We reserve the right to reclaim goods in the event of non-payment. - Governing Law
These Terms & Conditions are governed by and interpreted in accordance with English law. Disputes will be resolved under the jurisdiction of the English courts.
